1. Purpose
These Terms and Conditions govern access to and use of the ADOIA platform, a Software-as-a-Service (SaaS) document-intelligence service for legal professionals, provided by ADOIA PROJECT, S.L. ("ADOIA").
By creating a firm on ADOIA, the user states that they have read, understood and fully accepted these terms, as well as the Privacy Policy and the Cookie Policy.
2. Users and registration
Using the service requires prior firm registration, which is completed by providing:
- Firm tax details (name, tax ID, phone and billing email).
- Designation of an administrator with full access to the platform.
- Express acceptance of these terms and of the privacy policy.
The administrator is responsible for the accuracy of the data provided, for the custody of their credentials and for the actions carried out from their account. ADOIA reserves the right to refuse or revoke the registration if the data turns out to be inaccurate or if these terms are breached.
3. Trial period and pricing
Unless expressly stated otherwise, registration includes a free 15-calendar-day trial period starting from the moment the firm is created. During that period the user may access the features of the corresponding plan free of charge.
After the trial period, continuity of service is subject to an active paid subscription in accordance with the fees published on the website or agreed in the customer contract. Prices are expressed in euros and exclusive of VAT, unless stated otherwise.
4. User obligations
The user agrees to use the platform in compliance with applicable law, in good faith and in accordance with these terms. In particular, the user agrees to:
- Not upload unlawful or fraudulent content or content that infringes third-party rights.
- Not use the platform for purposes other than the professional activity of the firm.
- Not attempt to access restricted areas, disrupt the operation of the service or reverse-engineer the software.
- Anonymise or pseudonymise personal data contained in documents whenever required by data-protection law.
- Safeguard access credentials and immediately report any unauthorised use.
5. Services provided
ADOIA makes available to the user document-management, semantic-search, AI-assisted drafting, regulatory verification against the BOE and other tools described on the website. The specific scope may vary depending on the plan contracted.
Results generated by artificial intelligence are advisory in nature and require professional review by the user. ADOIA does not replace the professional judgement of the lawyer or the inherent responsibility involved in the practice of law.
6. Intellectual and industrial property
The platform, source code, logos, trademarks, models and documentation are the exclusive property of ADOIA or its licensors. Registration does not transfer any intellectual or industrial property rights to the user beyond the licence to use the service for the duration of the contractual relationship.
Documents that the user uploads or generates on the platform remain the property of the user or the firm's client. ADOIA only processes them in order to provide the contracted service, without reusing them to train third-party general models without express consent.
7. Availability and support
ADOIA will use reasonable means to keep the service continuously available, without prejudice to maintenance work, updates or technical incidents. Where interruptions are planned, advance notice will be given when feasible.
8. Limitation of liability
ADOIA shall be liable, in accordance with applicable law, for damages effectively proven and directly attributable to the service. Indirect damages, loss of profits, loss of opportunity or third-party claims arising from negligent or unlawful use of the platform by the user are excluded.
ADOIA's aggregate liability towards the customer, on any ground and during the twelve-month period preceding the claim, is limited to the amount actually paid by the customer as subscription fees during that period.
9. Suspension and termination
ADOIA may suspend or terminate the service, in whole or in part, in cases of non-payment, fraudulent use, serious breach of these terms or whenever required by a competent authority. The user may cancel the subscription at any time from the administration panel, without prejudice to any pending economic obligations.
10. Modifications
ADOIA may update these terms to reflect legal, case-law or service developments. Modifications will be published on the website and, where they entail substantial changes, will be notified to the user with reasonable advance notice.
11. Governing law and jurisdiction
These terms are governed by Spanish law. For any dispute that cannot be resolved amicably, the parties submit, expressly waiving any other jurisdiction, to the Courts of the provider's domicile, unless mandatory rules assign jurisdiction elsewhere.
